By Order dated February 25, 2000, the Superintendent listed 24 items required to be addressed by the Applicants in the above-captioned proceeding in order for the Superintendent to be able to make a determination that the Applicants’ filings are complete. On March 10, 2000 the Applicants filed their response to the Superintendent’s Order on Completeness, supplemented by filings on March 23, 2000 of the executed Amendment No. 1 to the Asset Purchase Agreement and of the executed Memorandum of Understanding (drafts of which were included in the Applicants’ March 10^th filing).

After careful review and consideration of the Applicants’ March 10^th filing, as supplemented, and of the other material on file with the Superintendent in relation to the statutory requirements to be satisfied by the Applicants in the above-captioned proceeding, it is the determination of the Superintendent that the Applicants’ filings are complete as of the date of this Order, and ready for hearing.
